Welcome to Eventini. These Terms of Service ("Terms") govern your access to and use of the Eventini marketplace platform, website, mobile applications, point-of-sale tooling, and related services (collectively, the "Platform").

By accessing or using Eventini, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Eventini LLC ("Eventini," "we," "us," or "our") is a Wisconsin limited liability company that operates this Platform to connect event hosts and consumers with service providers including caterers, food trucks, restaurants, entertainers, venues, and other vendors.

1. Acceptance of Terms

By creating an account or using Eventini, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
  • You are not under 13 years of age under any circumstances. Eventini is not directed to children, does not knowingly collect personal information from children under 13, and will terminate any account we discover belongs to a child under 13 (see Section 17 for our COPPA policy)
  • You have the legal capacity to enter into binding contracts
  • You will comply with these Terms and all applicable laws and regulations
  • If representing a business, you have authority to bind that business to these Terms

2. Account Registration

Creating an Account

To use most features of Eventini, you must create an account using Google OAuth, Apple Sign-In, email and password, or another supported authentication method. As part of account creation you will be asked to provide your date of birth so we can confirm you meet the minimum-age requirements above. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

Account Responsibility

  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You may not share, transfer, or sell your account to another person

3. Provider Obligations

If you register as a provider (caterer, food truck, restaurant, entertainer, venue, or other service provider), you agree to:

Listing Accuracy

  • Provide accurate and up-to-date information about your services, pricing, and availability
  • Clearly disclose all fees, minimum guarantees, and pricing structures
  • Update your listings promptly when information changes

Compliance and Standards

  • Maintain all required licenses, permits, and insurance for your services (see Section 6)
  • Comply with all applicable health, safety, and food handling regulations
  • Authorize Eventini to conduct quality and standards checks as needed
  • Accurately represent any identity tags (nonprofit, woman-owned, veteran-owned, etc.)

Tax Obligations

  • You are responsible for collecting and remitting applicable sales taxes on your services
  • You must accurately set your tax rate in your provider settings; Eventini calculates and itemizes the rate you configure but does not warrant that the rate you set is correct for your jurisdiction
  • In states where Eventini is determined to be a marketplace facilitator (for example Wisconsin under Wis. Stat. § 77.51(7m) once nexus thresholds are crossed), Eventini may collect and remit certain sales taxes on your behalf and will notify you in writing before doing so
  • Eventini facilitates tax collection but does not assume tax liability on your behalf except as expressly stated

1099 Reporting

Card and ACH payments routed to providers through Stripe Connect are reported on Form 1099-K by Stripe based on Connect account volume and the then-current IRS thresholds. Providers are required to keep their W-9 information current in the Platform and are responsible for reporting all income received through Eventini on their own tax returns.

4. Host/Consumer Obligations

If you use Eventini to book services or order online, you agree to:

  • Provide accurate event information including date, time, location, and guest count
  • Communicate clearly with providers about your requirements and expectations
  • Honor your booking commitments and payment obligations
  • Provide accurate guest count estimates, understanding that providers plan based on your projections
  • Review and understand provider cancellation policies before booking

5. Bookings and Transactions

Booking Process

When you submit a booking request, it is sent to the provider for acceptance. A binding agreement is formed when the provider accepts and you complete any required payment or deposit.

Eventini's Role

Eventini acts as a marketplace platform facilitating connections between hosts and providers and a payment-processing agent of the providers using Stripe's Connect infrastructure. Eventini is not a party to the underlying service agreement between you and the provider. We are not the merchant of record for the underlying goods or services and are not responsible for the quality, safety, legality, or fitness for a particular purpose of services provided.

Money Transmission

Eventini is not a money transmitter. All funds movement on the Platform — including card capture, refunds, Connect transfers, and ACH debits — is performed by our regulated payment partner Stripe Payments Company and its affiliates, which hold the applicable money-transmitter and lending licenses. Eventini acts as Stripe's technology platform and as the providers' agent for payment collection.

6. Cancellation Policies

Providers set their own cancellation policies. Eventini offers three standard policy tiers:

If a provider cancels, the host receives a full refund of any payments made. Providers who cancel must provide notice according to their policy tier.

7. Payments and Fees

Deposit Requirements

Providers may require deposits at the time of booking. Standard deposit options are 25%, 50%, or 75% of the total booking amount. The deposit amount is clearly displayed before you confirm your booking.

Open Tab Payments

Some providers offer open tab service where the final amount depends on actual consumption. Hosts are responsible for paying the final tab amount after the event, including any difference if a minimum guarantee was not met.

Platform Fees

  • Host/Consumer Service Fee: A platform service fee may be added to the order or booking total. The exact percentage is shown on the checkout summary before you pay
  • Provider Fee: Providers pay a service fee on completed bookings and online orders, disclosed in the provider agreement and dashboard
  • Card Processing: Stripe's standard processing rates apply to card payments. For most online orders Eventini absorbs the non-tip portion of the Stripe fee on behalf of providers

PCI DSS

Eventini does not store, process, or transmit cardholder data on its own infrastructure. All card interactions are tokenized through Stripe Elements / Stripe Terminal, and Eventini complies with PCI DSS SAQ A as a merchant that has fully outsourced cardholder-data handling.

Referral Program

Providers can earn rewards for each qualified referral. Referral earnings are subject to program terms and may change at our discretion.

8. ACH Bank Authorization (Providers / Organizations)

Some Eventini features rely on the Automated Clearing House (ACH) network — most notably the cash-settlement flow that lets a host organization (e.g., a food park or event venue) collect its share of the cash tendered at participating provider locations. By linking a bank account to Eventini and authorizing ACH debits or credits, you agree to the following.

Stripe Financial Connections

Bank-account linking is performed through Stripe Financial Connections. When you connect a bank account, Stripe (the regulated party for this flow) collects your bank credentials, account number, routing number, and recent transaction metadata directly. Eventini does not see or store your bank credentials. Stripe's use of that data is governed by Stripe's privacy policy and Financial Connections end-user terms.

Written Authorization

By completing the bank-link flow and clicking the authorization checkbox in your provider or organization dashboard, you provide a written authorization (within the meaning of NACHA Operating Rules) for Eventini, through Stripe, to debit and/or credit the linked account for the amounts and on the schedule disclosed in the dashboard at the time of authorization. A signed copy of each authorization is stored by Eventini for at least seven (7) years.

Notice of Changes

If the amount or timing of a recurring debit changes, we will provide at least seven (7) business days' written notice (typically via the monthly invoice email) before the change takes effect, consistent with NACHA's notice requirements.

Right to Revoke

You may revoke this ACH authorization at any time by emailing payouts@eventini.io or by removing the bank account in your dashboard. Revocation takes effect within three (3) business days. Revocation does not waive any obligation to pay amounts already due — Eventini may pursue collection of those amounts by other lawful means.

Consumer ACH (Reg E)

ACH features are intended for business bank accounts. If you link a personal (consumer) account, you acknowledge that additional disclosures and dispute rights apply under Federal Reserve Board Regulation E. You agree to review your statements promptly and notify us of any unauthorized debit within 60 days.

Insufficient Funds / Returns

If an ACH debit is returned unpaid (e.g., NSF, account closed, no authorization on file), you authorize Eventini to retry the debit up to two (2) additional times consistent with NACHA limits and to charge a return fee of up to $25 per failed debit. Repeated returns may result in account suspension.

9. Food & Beverage Provider Requirements

Providers offering food or beverage services bear all responsibility for safe preparation, handling, and service. As a condition of using the Platform, food & beverage providers agree to:

  • Maintain a current ServSafe (or equivalent) food-handler / food-manager certification for at least one staff member on duty during service
  • Maintain a current and unrestricted health-department permit, mobile-food license (where applicable), and any other municipal permits required to serve food in the customer's jurisdiction
  • Maintain a current alcohol-service license for any provider serving alcoholic beverages, and verify customer age at the point of service
  • Maintain commercial general liability insurance with coverage limits of at least $1,000,000 per occurrence and $2,000,000 aggregate, and provide a Certificate of Insurance to Eventini on request
  • Notify Eventini in writing within 24 hours of any health-department violation, license suspension, or food-borne-illness complaint connected to a Platform booking or order

Indemnification

Providers agree to defend, indemnify, and hold harmless Eventini, its officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) food-borne illness, (b) allergic reactions, (c) injury or property damage caused by the provider's acts or omissions, or (d) the provider's breach of any licensing, insurance, or compliance obligation under these Terms.

10. SMS/Text Message Communications

By creating an account on Eventini and providing your phone number, you expressly consent to receive transactional SMS/text messages from Eventini related to your account, bookings, and orders.

Types of Messages

SMS messages may include:

  • New booking request notifications
  • Booking confirmations and updates
  • Online-order placed / ready / out-for-delivery alerts
  • Account security and verification messages

Message Frequency & Costs

Frequency varies based on your activity. Standard message and data rates from your wireless carrier may apply. Eventini does not charge for SMS messages.

Opt-Out / Help

Reply STOP to any Eventini message to opt out, or HELP for help. You may also email support@eventini.io. Opting out of SMS does not affect your ability to use the Platform or to receive transactional emails.

Privacy

Your phone number and SMS consent information will not be shared with or sold to third parties for marketing purposes. Your phone number is shared with our SMS service providers (currently Twilio for transactional alerts and ClickSend for fallback delivery) solely for message delivery. See our Privacy Policy for details.

11. Ratings and Reviews

  • Both hosts and providers may leave ratings and reviews after completed events
  • Reviews must be honest, accurate, and based on genuine experiences
  • Reviews may not contain hate speech, harassment, or false statements
  • We reserve the right to remove reviews that violate our policies
  • Attempts to manipulate ratings or reviews may result in account termination

12. Prohibited Conduct

You agree not to:

  • Provide false or misleading information
  • Circumvent the Platform to avoid fees or complete transactions off-platform
  • Harass, abuse, or threaten other users
  • Post content that infringes intellectual property rights
  • Use the Platform for illegal purposes
  • Attempt to gain unauthorized access to Platform systems
  • Interfere with the proper operation of the Platform
  • Scrape or collect user data without authorization

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • EVENTINI PROVIDES THE PLATFORM "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR THE ACTIONS, CONTENT, OR SERVICES OF USERS
  • WE ARE NOT RESPONSIBLE FOR SERVICE QUALITY, SAFETY, OR LEGALITY
  • OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF $100 OR THE FEES PAID TO US IN THE PAST 12 MONTHS
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

14. Dispute Resolution & Governing Law

Between Users

Disputes between hosts and providers should first be resolved directly between the parties. You may contact support@eventini.io for assistance, but Eventini is not obligated to mediate disputes.

With Eventini

Any disputes with Eventini shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Milwaukee, Wisconsin. You agree to waive any right to participate in a class action or class arbitration.

Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any action not subject to arbitration shall be brought exclusively in the state or federal courts located in Milwaukee County, Wisconsin, and you consent to the personal jurisdiction of those courts.

15. Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms or our policies
  • Engage in fraudulent or illegal activity
  • Receive consistently poor ratings or reviews
  • Fail to maintain required licenses or insurance (providers)
  • Provide false or misleading information
  • Are determined to be under the minimum-age requirements (Section 1)

You may terminate your account at any time by contacting support@eventini.io. Outstanding obligations survive account termination.

16. Records Retention

To meet legal, tax, accounting, and dispute-defense requirements, Eventini retains the following records for at least the periods shown:

  • Payment records (orders, charges, refunds, transfers): 7 years (federal tax recordkeeping)
  • ACH authorizations and bank-link audit trails: 7 years (NACHA Operating Rules)
  • 1099 source data and provider W-9s: 7 years (IRS)
  • Customer support tickets and dispute correspondence: 3 years (chargeback / dispute defense)
  • General account, profile, and order history: for the life of the account plus a reasonable post-closure period (typically 90 days) before deletion or anonymization

Retention periods may be longer where required by a legal hold, ongoing investigation, or applicable law.

17. Children — COPPA Policy

Eventini is a general-audience marketplace for adult-organized events and adult-operated businesses.The Platform is not directed to, marketed to, or intended for use by children under 13.

  • We do not knowingly collect personal information from children under 13 in violation of the Children's Online Privacy Protection Act of 1998 (15 U.S.C. § 6501 et seq., "COPPA")
  • Account creation requires you to attest that you are at least 18 years old, and our signup flow collects a date of birth that is validated against a hard cutoff of 13 years and a soft cutoff of 18 years
  • If we learn we have collected information from a child under 13, we will delete the account and the associated personal information promptly
  • If you are a parent or guardian and believe your child under 13 has created an Eventini account, contact support@eventini.io and we will delete the account and any personal information we hold for that child within 30 days

18. Insurance & Risk

Eventini maintains commercial general liability, technology errors-and-omissions, and cyber-liability insurance at coverage levels we believe are appropriate for a marketplace platform of our size. Eventini's insurance is not a substitute for the provider's own insurance — providers must maintain their own coverage as described in Section 9. Eventini reserves the right to require any provider to furnish a Certificate of Insurance before completing onboarding or before booking high-risk events.

19. Intellectual Property

All content and materials on Eventini, including logos, designs, and software, are owned by Eventini or our licensors and are protected by intellectual property laws.

By posting content on Eventini, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Platform.

20. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date at the top of this page. For changes that materially affect your rights (for example, changes to dispute resolution, ACH authorization, or fee structures), we will provide additional advance notice by email or in-app banner. Your continued use of Eventini after changes become effective constitutes acceptance of the modified Terms.
